Greystone
Communications "Greystone" is a diversified entertainment
company consisting of five divisions: television, film, home video,
retail and the Internet. The company was founded in 1986 and today
employs a full-time staff of more than 75 people as well as dozens
of others on projects currently in production. Greystone occupies
over 25,000 square feet of space in North Hollywood, California, which
includes executive, creative and post-production facilities. Two
of Greystone's principals, Craig Haffner and Donna E. Lusitana, have
together produced over 600 hours of television programming in the
last six years including numerous series for the Arts & Entertainment
Network (A&E), The History Channel and TNN. In addition, Greystone
has produced dozens of hours of programming for CBS, NBC, ABC, HGTV,
UPN, and Lifetime. Greystone has won Emmy Awards for its programming
and most recently received a National Educators Award for its three
hour program Ellis Island.
Greystone's
television division continues to produce many episodes of A&E's
Emmy Award-winning series Biography and production will soon
begin on the fourth season of The History Channel's highest rated
series, Tales of the Gun. For TNN, Greystone produced its fifth
season of The Life & Times Of..., one of TNN's highest
rated series. The series profiles top-selling personalities in the
realm of country music. In addition, Greystone is currently producing
numerous specials for A&E and The History Channel including: The
Unfinished Civil War, Civil War Combat, The True Story
of Tora Tora Tora, What if...? and Haunted History. For
HGTV, Greystone has completed the one-hour special, The Shape of
Things to Come and is producing the third season of HGTV's America's
Homestyles.
The
film division at Greystone completed a feature film with its 50-50
partner Gaylord Entertainment entitled Lunker Lake: The Movie.
It is a children's film featuring muppet-like characters called The
Peppercorn Players. The soundtrack includes a well-known country
artist and will be distributed by MCA Records. Greystone Films also
co-produced a film entitled Left Luggage starring Isabella
Rossellini and Maximilian Schell. Left Luggage premiered at
the Berlin Film Festival. It won four separate awards and immediately
secured a foreign distribution deal with Trident Releasing. In addition,
Greystone Films has recently completed Spirit of Yosemite,
a twenty-three minute film that was produced for The Yosemite Fund
to be donated to the National Park Service. This project, filmed
over an eighteen-month period, presents the wonders of Yosemite National
Park in all four seasons. Spirit of Yosemite will be shown
continuously at the Park's Visitors Center. Greystone Films currently
has an agreement to produce a two-hour television movie for Showtime
with Shari Belafonte as a co-producer entitled Cowboys of Color.
Greystone Films has many other projects in various stages of development
and owns numerous options on other properties.
Greystone
Home Video has recently completed numerous projects on the Civil War.
One such project is The Filmmakers Gettysburg, a four-volume
series with Ron Maxwell (director of the movie Gettysburg that
was based on Michael Shaara's best-selling novel The Killer Angels)
and Jeff Shaara (author of best sellers Gods and Generals and
Last Full Measure.) Twenty-six shows of a new series
entitled The Unknown Civil War have also been completed with
thirty-four more in various stages of production. In addition, Greystone
Home Video produced a special project for Pepsico, Inc. which consisted
of a thirty-minute video on the history of Pepsi Cola. It was used
by that company in its 100th anniversary celebration in
January of 1998.
Greystone's
retail division consists of a store on Baltimore Street in Gettysburg,
Pennsylvania in the heart of the historic district, and a second store
in San Antonio, Texas at The Alamo. Greystone's American History
Stores sells all of Greystone's programming on video and DVD as well
as other history-related items such as books, photographs, art and
high quality miniature soldiers. The stores have hosted book-signing
events televised live by C-SPAN. Most recently in July 2000, the
Gettysburg store hosted more than 40 authors over three days with
each author speaking and signing their books.A comprehensive list

attached appendix.

EXECUTIVE
MANAGEMENT
The
Executive Management and Shareholders of Greystone Communications,
Inc. (GCI) consists of the following individuals:
CRAIG
HAFFNER
Mr.
Haffner is the President and CEO of GCI. He has an extensive background
in the television production business and has been the Executive Producer
of hundreds of hours of programming. From 1983 through 1987 he was
the Program Director for KABC, the Los Angeles affiliate of the ABC
network. In that position he pioneered, developed and produced the
highest rated daily local early evening television show in the
network's
history (Eye on LA). Mr. Haffner departed KABC in 1987 and together
with Donna E. Lusitana and another partner, formed GCI. Greystone,
over the next nine years, produced hundreds of hours of programming
in the reality documentary area. Greystone's productions are consistently
among the most honored and distinguished of any such programming produced,
garnering Emmy Awards for the shows Hitler: Man & Myth
and Pearl Harbor. Mr. Haffner also created and was the Executive
Producer of 65 episodes of Brute Force; 65 episodes of The Real West;
and 52 episodes of Civil War Journal, all for the A&E Network,
in addition to all of the other programs listed on the attached appendix.
DONNA
E. LUSITANA
Ms.
Lusitana is President of Greystone Television. In that capacity, Ms.
Lusitana oversees production for all GCI programs. From 1979 to 1986
Ms. Lusitana worked at KABC, rising to the position of Executive Producer
of Programming at the station. Beginning during their days at KABC
and continuing to the present at GCI, Ms. Lusitana and Mr. Haffner
have worked closely together. Ms. Lusitana has also been Executive
Producer for all of the shows listed on the attached appendix. Her
extensive experience and tremendous success in the past with similar
programming, both at KABC and at GCI, makes her an invaluable part
of the Greystone management team.
SHINAAN
S. KRAKOWSKY
Mr.
Krakowsky is the Chief Operating Officer and General Counsel of GCI.
He was a practicing attorney for 13 years and was a partner at a prominent
Los Angeles law firm when he joined Greystone in 1994.
FREDERICK
J. BROOKWELL
Mr.
Brookwell is Chief Financial Officer and Corporate Counsel of GCI.
He was a practicing attorney for 16 years and was a partner at a prominent
Los Angeles law firm when he left and formed his own firm in 1994.
In November of 1996 he left the private practice of law and joined
Greystone.
